1. Entire Agreement

These Terms, together with your signed Proposal, form the full agreement between you (the “Client”) and Living Architecture Atlanta LLC (“Living Architecture”). This agreement supersedes any prior discussions unless specifically included in writing. Changes must be agreed to in writing by both parties.

2. Services Provided

Services will be as described in your Proposal. Living Architecture provides architectural design, landscape design, site planning, and related consulting services. Additional services not listed in the Proposal may be provided if agreed to in writing.

3. Compensation & Payment

  • Fees are described in the Proposal, either as a fixed fee, hourly rate, or percentage of construction costs.

  • Invoices are issued at project milestones or monthly. Payment is due within 7 days of receipt. Late payments may be subject to a 1.5% monthly finance charge and suspension of services.

  • A non-refundable retainer is required before work begins. This is credited toward final invoices.

4. Additional Services

Additional services (e.g., existing conditions surveys, interior selections, renderings, permit hearings, engineering coordination, etc.) will be billed at agreed hourly rates or negotiated sums.

5. Client Responsibilities

The Client must:

  • Provide accurate property information and surveys when required.

  • Establish a project budget and make timely decisions.

  • Hire qualified contractors unless Living Architecture is contracted for construction administration.

6. Schedule

Living Architecture reserves project time based on anticipated responsiveness. Delays beyond 30 days may result in rescheduling or additional fees.

7. Ownership of Documents

All drawings, plans, and designs remain the property of Living Architecture. The Client is granted a license to use them only for the specific project. Reuse or modification without written permission is at the Client’s own risk.

8. Publicity

Living Architecture may photograph projects and use images for portfolio, website, or marketing purposes.

9. Insurance & Liability

Living Architecture maintains general liability insurance. Liability for errors or omissions is limited to fees received under this Agreement. Living Architecture is not responsible for hazardous materials or unforeseen conditions on site.

10. Dispute Resolution

Disputes shall first be submitted to mediation. If unresolved, they will be settled by binding arbitration in Fulton County, Georgia, unless both parties agree otherwise.

11. Termination

Either party may terminate with 7 days’ written notice if the other party fails to perform. Upon termination, the Client must pay for services rendered to date.
